Authorization of Italia Capitalis S.r.l as a service provider crowdfunding per l'esercizio del servizio di cui all'art. 2, comma 1, lettera a), Sub (ii) Regulation (EU) 2020/1503
THE NATIONAL COMMISSION FOR COMPANY AND BORSA
HAVING REGARD TO the Law of 7 June 1974, n. 216 and subsequent amendments;
HAVING REGARD TO Legislative Decree no. 58 of 24 February 1998 and subsequent amendments;
See, in particular, Articles 4-sexies.1 and 100-♪ of Legislative Decree no. 58 of 24 February 1998;
HAVING REGARD TO Regulation (EU) 2020/1503 of the European Parliament and of the Council on European suppliers of services crowdfunding for undertakings and, in particular, Articles 12 and 14;
HAVING REGARD TO the delegated regulations of the European Commission supplementing the abovementioned Regulation (EU) 2020/1503;
HAVING REGARD TO the regulation approved by its resolution No 22720 of 1 June 2023;
VISTA l'istanza, presentata con nota del 1° ottobre 2024, con la quale Italia Capitalis S.r.l., con sede legale a Milano, ha chiesto di essere autorizzata come fornitore di servizi di crowdfunding ai sensi dell'art. 4-sexies.1 del d.lgs. n. 58/1998 e dell'art. 12 del regolamento (UE) 2020/1503, per prestare il servizio di crowdfunding di cui all'art. 2, comma 1, lettera a), Sub (ii) Regulation (EU) 2020/1503, consisting of unrevocable placement and the receipt and transmission of customer orders for securities and instruments allowed for the purposes of crowdfunding issued by project owners or vehicle companies;

SENTITA la Banca d'Italia e preso atto delle valutazioni dalla stessa espresse per i profili di propria competenza;
RITENUTO che sussistono i presupposti per l'accoglimento dell'istanza;
D E L I B E R A:
Italia Capitalis S.r.l., con sede a Milano (MI), è autorizzata, ai sensi dell'art. 4-sexies.1 del d.lgs. n. 58/1998 e dell'art. 12 del regolamento (UE) 2020/1503, come fornitore di servizi di crowdfunding to lend the service crowdfunding di cui all'art. 2, comma 1, lettera a), Sub (ii) Regulation (EU) 2020/1503, consisting of unrevocable placement and the receipt and transmission of customer orders for securities and instruments allowed for the purposes of crowdfunding issued by project owners or vehicle companies.
This resolution will be brought to the attention of Italy Capitalis S.r.l. in the manner and in the terms of law and published in the Consob Bulletin.
I pertinenti elementi informativi di cui alla presente delibera verranno comunicati all'Esma ai fini dell'iscrizione di Italia Capitalis S.r.l. nell'apposito Registro dei fornitori di servizi di crowdfunding di cui all'art. 14 del regolamento (UE) 2020/1503.
This decision shall be appealed to the Regional Administrative Court of Lazio within sixty days of the date of notice.
